Key Responsibilities
A. Commercial & Operational Legal Support
• Draft, review and negotiate a wide range of commercial contracts, including services agreement, vendors contracts, procurement, lease agreements, etc…
• Review and advise on contracts for regulatory, compliance, and legal risk
• Maintain an organised register of standard contract templates, executed material contracts (parent agreements, key vendors, leases), and contract approval workflows (e.g. Delegation of Authority matrix)
• Track validity, expiry, and renewal milestones for Leases and premises‑related documents
• Advise business teams (Operations, Finance, HR) on day-to-day legal issues
• Ensure commercial decisions and documentation mitigate legal, operational and financial risks
• Escalate complex or high‑risk legal matters to external counsel
• Ensure contractual obligations align with regulatory requirements and internal policies
B. Regulatory & Compliance
• Interpret and implement applicable laws, regulations, and licence conditions relevant to the Early Childhood sector.
• Provide legal interpretation and ensure alignment of SOPs with applicable laws and regulations, licensing or regulatory conditions (e.g. ECDA requirements, PDPA), and internal compliance policies and control standards
• Monitor ongoing compliance with regulators and external requirements, and advise management on impact and required actions for any regulatory changes
• Serve as the organisation’s appointed Data Protection Officer (DPO) in accordance with the Singapore Personal Data Protection Act (PDPA)
• Support and oversee the organisation’s compliance with PDPA obligations relating to the collection, use, disclosure, storage, and protection of personal data, including children’s and parents’ personal data
• Support regulatory submissions (ECDA licences, NOC Forms, third-parties approval, and work with Quality Team to maintain a centralised repository of ECDA ‑ related licences, approvals, and regulatory correspondence , and to track licence validity, renewal timelines, and documentation requirements for
C. Corporate Governance & Company Secretarial Support
• Maintain and oversee the completeness and organisation of corporate and statutory records , including Registers required under the Companies Act, Board and written resolutions, approvals.
• Coordinate with external corporate secretarial service providers .
• Ensure legal documentation is audit-ready and readily retrievable for inspections, audits, or due diligence exercises.
• Conduct legal periodic reviews to ensure contractual documentation remains aligned with current regulatory requirements (e.g. ECDA, PDPA), approved governance and delegation structures.
D . Risk Internal Controls
• Identify legal and regulatory risks in business processes and propose mitigation actions
• Ensure internal SOPs reflect legal requirements and contractual obligations
• Support management in embedding legal compliance into workflows and operational processes
• Provide advisory input during incident reviews and regulatory inspections
• Contribute to internal governance discussions by assessing legal risks and ensuring proper documentation
E. Business & Stakeholder Partnership
• Participate in management discussions to provide pre ‑ decision risk input
• Work closely with Operations, HR, Finance, and other key internal stakeholders to provide practical, business-oriented legal advice
• Conduct internal training sessions (contracts, PDPA, regulatory duties, approvals)
• Foster a strong culture of compliance and good governance
F. Reporting & Governance
• Ensure regular, clear, and structured reporting to the Senior Management, and Group Legal Team
• Maintain independence in assessment and reporting
Required Qualifications & Experience
Education & Credentials
• Degree in Law
• Additional training or certifications in Compliance, Risk Management and/or Internal Control is a plus
Experience
• 3–6 years ’ in-house experience as legal counsel
• Additional experience or strong interest in Compliance, Risk Management and/or Internal Control is required
• Experience in regulated environments strongly preferred
• Team player and consensus builder with excellent interpersonal skills
• Commercial and entrepreneurial-minded.
• Meticulous individual with a strong sense of responsibility and initiative. Strong oral, written and interpersonal communication skills with the ability to interact and communicate effectively.
