Mission & Impact:
Implement KAIO’s legal and compliance strategy based on strategic goals provided by KAIO CEO and KAIO Head of Structuring — focusing on regulatory strategy execution across jurisdictions, tokenized fund & investment products developments to become the most trusted institutional RWA platform in Web3.
Key Responsibilities:
Legal, Governance, Compliance & Regulatory
• Support the implementation of KAIO’s legal and compliance strategy under guidance from senior leadership.
• Support regulatory licensing applications, filings, and entity administration alongside operations and business team.
• Assist with maintaining internal legal records, contracts, and risk registers.
• Assist with regulatory and compliance matters across relevant jurisdictions (e.g. Singapore, Cayman Islands).
• Acting as compliance officer for regulated entities.
Commercial & Product Counsel
• Work with Product, Engineering, and Marketing teams to support compliant tokenized product launches (especially investment funds and structured products).
• Draft, review, and support negotiation of commercial contracts, NDAs, partnership agreements, and service providers arrangements (e.g. fund administration agreements, IMAs, side letters and similar documents).
• Assist in drafting and maintaining standard terms & conditions, privacy notices, disclaimers.
Corporate, Employment & IP
• Support corporate governance processes, including board resolutions, and corporate secretarial activities.
• Assist with employment documentation such as offer letters and contractor agreements.
• Help review and manage intellectual property matters with supervision.
• Contribute to maintaining and improving legal templates, playbooks, and internal processes.
Data Privacy & Security
• Support GDPR and data-protection compliance efforts.
• Assist with privacy documentation and internal policies.
Experience & Background
Must have
• Qualified lawyer with minimum 3-5 years.
• Experience in financial regulation (e.g. AIFMD, MiFID) and cross-border licensing.
• Exposure to fund structures and investment product design.
• A good understanding of corporate law
Preferred
• Experience both in private practice (1-2 years) and in-house (1-2 years), ideally in mid-size firms or start-ups (inc. small hedge funds/fund management companies)
• Exposure to fintech, Web3, digital assets (inc. token launches and investments) & tokenization;
• Some experience with regulatory or data-privacy matters is advantageous.
• London, UK location preferred.
