Community Hospital Corporation (CHC) is looking for a Corporate Paralegal – Contracts & Entity Governance. This person will play a vital role within the Office of General Counsel by managing the administrative end-to-end contract lifecycle, maintaining complete corporate records, and handling statutory compliance for all legal entities. This position ensures that all company agreements are properly processed, tracked, and archived in compliance with internal policies, while keeping corporate entities in good standing across all operating jurisdictions. The ideal candidate is an organized, detail-oriented legal professional with a strong background in contract lifecycle management (CLM) platforms, database management, and corporate entity maintenance. Key Duties & Responsibilities 1. Contract Review, Drafting & Lifecycle Management Prepare, review, and assemble initial drafts of routine commercial and healthcare agreements using established corporate playbooks, standard templates, and approved clause options. Agreements include: Non-Disclosure Agreements (NDAs) Professional Services Agreements (PSAs) Vendor, Supplier, and Software Agreements Physician & Provider Contract Amendments / Addenda Business Associate Agreements (BAAs) Real Estate / Facility Leases and Service Agreements Flag non-standard terms, risks, or deviations from company guidelines and escalate them directly to supervising legal counsel for review. Manage the internal intake queue for legal review requests, prioritizing urgent business needs and keeping internal stakeholders informed of contract status. Serve as an administrator for the enterprise Contract Lifecycle Management (CLM) platform (e.g., Worldox, Compliance 360), including training of staff for CHC and its owned facilities. Oversee execution workflows via e-signature tools (e.g., DocHub) and ensure proper digital archiving, indexing, and data entry for all fully executed agreements. Track critical contract milestones, including auto-renewals, and expiration dates; issue proactive notifications to business owners. 2. Entity Management & Corporate Governance Maintain comprehensive, accurate corporate records, minute books, organizational charts, and corporate structure documentation for all subsidiaries and affiliated entities. Prepare, file, and track annual reports, franchise tax filings, state registrations, and foreign qualifications across all jurisdictions where the organization operates to maintain good standing. Draft routine corporate resolutions, written consents, officer/director appointments, and entity formation or dissolution documents under attorney supervision. Serve as the primary liaison with registered agents to receive, route, and track Service of Process (SOP) and statutory notices. Respond to requests for proof of good standing, corporate structure documentation, and officer/director information during audits, financing, or due diligence reviews. 3. Healthcare Compliance & Administrative Support Coordinate with legal counsel to verify that physician and operational contracts contain required compliance documentation (e.g., Fair Market Value evaluations, time tracking logs, compliance committee approvals). Maintain confidentiality and security of all corporate, provider, and patient-related data in accordance with HIPAA and internal policies. Generate regular reporting on contract volumes, t
