Description
We are currently seeking a Corporate M&A Lawyer to support Axiom clients across a broad range of sectors and corporate transactional matters. In this role, you will provide practical, commercially focused legal advice on mergers, acquisitions, disposals, restructurings, reorganisations, joint ventures and private equity investments, working closely with legal, finance, corporate development and business stakeholders across the full transaction lifecycle.
Responsibilities :
Advise on corporate transactions including mergers, acquisitions, disposals, restructurings, reorganisations, joint ventures, and private equity investments, supporting execution across the full transaction lifecycle.
Lead on transaction delivery, including structuring, due diligence, risk assessment, and execution, with a focus on hands-on deal experience rather than purely advisory work.
Draft, review, and negotiate key transaction documentation (SPAs, shareholders’ agreements, disclosure letters, NDAs, ancillary documents) and advise on warranties, indemnities, and deal mechanics.
Provide support on corporate governance and company secretarial matters, including board processes, shareholder arrangements, and regulatory compliance (experience with entity rationalisations and reorganisations desirable).
Minimum Qualifications:
Eligible to practice as a lawyer in the UK with strong corporate experience gained in private practice or in-house environment's.
Demonstrated experience advising on complex corporate transactions (mergers, acquisitions, disposals, sales, restructurings, reorganisations), with a focus on execution and deal delivery.
Experience or exposure to corporate governance, company secretarial matters, and entity rationalisation projects desirable.
Strong commercial acumen with the ability to provide practical, business-focused legal advice and build relationships with internal and external stakeholders.
